SpectroArt Vendor Terms & Conditions

These Vendor Terms & Conditions (“Agreement”) govern your participation as an artist, vendor, or creator (“Vendor,” “you,” “your”) with SpectroArt LLC (“SpectroArt,” “we,” “us,” “our”) through the SpectroArt platform and store. By registering as a Vendor and listing or selling products through SpectroArt, you agree to be bound by these Terms.
1. Purpose
SpectroArt is a music-tech platform that transforms songs into physical and digital art experiences. As a Vendor, you may collaborate with us to sell products and experiences to fans through our Shopify-powered store, iOS app, and related services.
2. Vendor Eligibility
To become a Vendor, you must:

Be at least 18 years old or have legal parental/guardian consent.

Provide accurate and up-to-date registration information.

Agree to these Terms and comply with all applicable laws and regulations.
SpectroArt reserves the right to accept, decline, or terminate Vendor accounts at its sole discretion.
3. Vendor Responsibilities
Vendors agree to:

Ensure that all submitted content (artwork, music, images, descriptions, etc.) is accurate, complete, and does not infringe on third-party rights.

Grant SpectroArt a non-exclusive, royalty-free license to use submitted content for marketing, product creation, and sales purposes.

Refrain from uploading illegal, defamatory, or offensive materials.

Maintain updated payout details for timely payments.
4. Product Ownership & Rights

Physical products (e.g., SpectroArt 3D pieces) remain proprietary to SpectroArt LLC. Vendors license SpectroArt to produce and sell these items based on their music or likeness.

Vendors confirm they have all necessary rights to their music and related intellectual property.

Vendors retain ownership of their underlying creative works (songs, videos, likeness), while granting SpectroArt permission to create derivative merchandise and associated experiences.
5. Revenue Share & Commissions

SpectroArt will track and report sales attributed to each Vendor through the Vendor Dashboard.

Unless otherwise agreed in writing, the standard revenue split is:

Vendor Share: 15% of net sales revenue.

“Net Sales Revenue” means gross sales less transaction fees, discounts, chargebacks, and applicable taxes.

SpectroArt reserves the right to adjust commission rates by mutual agreement for special campaigns or partnerships.
6. Payouts

Vendor payouts are processed on a bi-weekly schedule.

Payouts are made via the payment method on file (e.g., PayPal, Stripe, bank transfer).

Minimum payout threshold: $15 unless otherwise agreed.

Any disputes regarding payouts must be submitted in writing within 30 days of the payout date.
7. Taxes
Vendors are responsible for reporting and paying their own taxes (income tax, VAT, GST, etc.) in accordance with applicable laws. SpectroArt may collect and remit sales tax where legally required.
8. Marketing & Promotion

SpectroArt may feature Vendor products on its website, app, social channels, or marketing campaigns.

Vendors may promote their SpectroArt products independently, provided such promotion does not harm the SpectroArt brand.

Vendors may not misrepresent SpectroArt or make unauthorized commitments on behalf of the company.
9. Term & Termination

Either party may terminate this Agreement at any time with written notice.

SpectroArt may suspend or terminate a Vendor account for violation of these Terms, fraudulent activity, or harm to the brand.

Upon termination, SpectroArt will pay out any outstanding balances owed to the Vendor (subject to applicable deductions).
10. Liability & Indemnification

Vendors agree to indemnify and hold harmless SpectroArt LLC, its officers, and affiliates from any claims arising out of Vendor content, products, or actions.

SpectroArt is not liable for indirect, incidental, or consequential damages related to Vendor participation.
11. Confidentiality
Any non-public business, financial, or technical information shared between Vendor and SpectroArt must remain confidential and not be disclosed to third parties without written consent.
12. Modifications
SpectroArt may update these Terms from time to time. Vendors will be notified of significant changes, and continued use of the platform after changes take effect constitutes acceptance.
13. Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in Orange County, California.
